These Terms & Conditions ("Terms") govern access to and use of the Homzly website, mobile applications, dashboards, and related services (together, the "Platform"). If you use the Platform, you agree to these Terms.

If you use Homzly as a real estate agency, developer, holiday homes operator, business center operator, or other business customer (a "Business User"), additional sections in these Terms apply to you (including KYC, listings, billing, and marketing consent).

1. Definitions

  • Homzly / we / us: the operator of the Platform.
  • User / you: anyone who accesses or uses the Platform.
  • Business User: a User using the Platform for commercial listing/marketing purposes.
  • Account: your Platform login and profile.
  • Listing: any property listing or advertisement submitted to the Platform.
  • Content: text, images, video, data, documents, branding, and other materials uploaded or provided.
  • Services: paid or unpaid services provided through the Platform (including listing, marketing, premium placements, and analytics).
  • Fees: charges payable for Services.
  • Client Assets: Business User name, logo, trademarks, images, videos, and marketing materials (as defined in Section 17).

2. Eligibility and Accounts

2.1 Eligibility

You must be at least 18 years old and able to form a legally binding agreement to use the Platform.

2.2 Account registration and accuracy

You agree to provide accurate, complete, and current information and to keep your Account information updated.

2.3 Account security

You are responsible for maintaining the confidentiality of your login details and for all activity under your Account. Notify us promptly of any unauthorized access.

2.4 Suspension or termination of Accounts

We may suspend or terminate Accounts where:

  • these Terms are breached;
  • applicable fees remain unpaid;
  • we detect fraudulent, abusive, unlawful, or high-risk activity; or
  • suspension/termination is required by law or regulatory authorities.

3. Platform Use Rules

You must not misuse the Platform. This includes:

  • uploading illegal, false, misleading, or fraudulent content;
  • violating intellectual property or privacy rights;
  • scraping, harvesting, or collecting Platform data without permission;
  • interfering with Platform functionality (hacking, malware, unauthorized access);
  • harassing users or sending unsolicited messages; or
  • misrepresenting your identity, credentials, ownership, or authorization.

We may limit access, restrict excessive usage, or suspend Accounts to protect the Platform's integrity and security.

4. Business Users: Client Identification (KYC)

To open and maintain a Business Account and/or publish Listings, we may require verification documents, including:

  • Emirates ID or passport copy of the authorized signatory
  • Power of attorney or equivalent authorization (if the signatory is not named on the trade license)
  • Commercial trade license
  • VAT registration certificate (if applicable)
  • RERA registration certificate (ORN) (where applicable)
  • DTCM tourism license (where applicable)
  • DTCM unit/permit registrations (where applicable)
  • DED permit/approval for business center operations (where applicable)

We may request additional or updated KYC information at any time. If required KYC is not provided or is not satisfactory, we may refuse activation, suspend access, or remove Listings.

5. Listings and Advertiser Obligations

5.1 Accuracy and legitimacy

If you upload a Listing, you represent and warrant that:

  • you are the owner/landlord/developer or a legally authorized agent;
  • all Listing information is accurate and current; and
  • you have proper rights to use the Content you submit.

5.2 Prohibited Listing Content

You must not submit:

  • fake or misleading Listings;
  • duplicate/spam Listings;
  • mispriced, outdated, or unverifiable Listings;
  • images with third-party watermarks; or
  • Listings promoting illegal activities or non-real-estate products.

5.3 Verification

We may perform identity and Listing verification steps. Unless we explicitly state otherwise, we do not guarantee the accuracy, ownership, or legitimacy of any Listing.

5.4 Right to edit, reject, remove

We may edit, reject, disable, or remove Listings or advertisements that (in our reasonable opinion):

  • do not meet quality/accuracy/completeness standards;
  • duplicate other content; or
  • breach applicable law or these Terms.

5.5 Permits (RERA / Trakheesi) and removal obligations

Business Users are solely responsible for:

  • obtaining and maintaining valid advertising permits (including RERA/Trakheesi) for Listings;
  • ensuring each Listing is covered by a valid permit where required; and
  • promptly updating or removing Listings once a property is sold, rented, or otherwise unavailable.

We do not obtain or manage Trakheesi registrations on your behalf. You remain solely liable for fines, penalties, or claims arising from non-compliance.

6. Content Rights and Intellectual Property

6.1 Your Content and licence to Homzly

By submitting Content, you grant Homzly a worldwide, royalty-free licence to host, use, reproduce, adapt, publish, distribute, and display that Content:

  • on the Platform;
  • across Homzly channels (including marketing); and
  • for syndication/redistribution arrangements with third parties (see Section 7).

6.2 Homzly intellectual property

All technology, software, platform design, data, trademarks, branding, and proprietary materials used in or in connection with the Platform and Services ("Homzly IP") remain owned by Homzly and/or its licensors. Nothing transfers ownership of Homzly IP to you.

6.3 Restrictions

You must not (and must not permit others to):

  • copy, scrape, crawl, or reproduce Platform content for commercial purposes without permission;
  • reverse engineer, decompile, disassemble, or attempt to derive source code; or
  • challenge Homzly's ownership of Homzly IP.

If you become aware of suspected infringement or misuse of Homzly IP, notify us promptly.

7. Marketing, Syndication, and Promotional Features

7.1 Syndication and redistribution

We may syndicate or redistribute Listings and related Content through group companies and/or third-party partners. We are not obliged to notify you of each arrangement.

7.2 Attribution

We may (but are not obliged to) identify Business Users as the source of Listings or advertising content.

7.3 Promotional Features

We may offer enhanced placements or visibility products (e.g., featured listings, priority placement, banner campaigns). Promotional Features are subject to availability and technical constraints, and may require up to two (2) weeks to activate from confirmation.

Promotional Features are separate from core Services. Suspension/discontinuation of Promotional Features does not change Fees or scope of underlying Services unless agreed in writing.

8. Paid Services, Fees, and Payment (Business Users)

8.1 Fees and billing

Fees (if applicable) are payable in AED by bank transfer or other methods we notify. Unless stated otherwise, Fees are payable monthly in advance.

8.2 Activation and non-payment

We may delay activation until the first payment is received in cleared funds. If payment is overdue, we may suspend or terminate access to Services and/or Accounts.

8.3 Taxes

VAT and other applicable taxes will be added as required by UAE law. We may adjust prices to reflect new or increased government-imposed taxes.

8.4 Late payment charges and suspension

A late payment charge of AED 500 applies to each overdue installment. If any invoice remains unpaid for five (5) days after its due date, we may automatically suspend the relevant Business Account.

Suspension does not relieve your obligation to pay Fees.

8.5 Refunds

Fees are non-refundable unless explicitly stated otherwise in writing. Refunds may only be considered in the following limited circumstances: a duplicate payment was made; a verified technical error on our part resulted in incorrect billing; or a paid service was not activated due to a fault on Homzly's side. Refund requests must be submitted in writing to support@homzly.com within 7 days of the transaction date. Refunds will not be issued for dissatisfaction with platform performance, lead volume, quality or return on investment, partial use or unused portions of a subscription, client-side delays or failure to provide required materials, or early cancellation of an active subscription. Where a refund is approved, it will be processed within 7 to 14 business days via the original payment method. Homzly reserves the right to deduct any applicable transaction, processing, or service fees from the refunded amount.

9. Leads, Results, and Disclaimers

9.1 No guaranteed outcomes

We do not guarantee:

  • lead volume;
  • lead quality/responsiveness; or
  • conversion outcomes or commercial results.

9.2 No professional advice

We do not provide legal, financial, or real-estate advisory services. You should obtain independent professional advice where required.

9.3 Platform availability

The Platform may experience downtime or technical issues. We are not liable for loss of data, delayed messages, or interruptions, to the maximum extent permitted by law.

10. Service Monitoring and Quality Control

To monitor and improve service quality and user experience, we may:

  • record or monitor calls and communications made through or in connection with the Platform (with notice where required by law);
  • conduct mystery shopping, test inquiries, and lead audits; and
  • request corrections or improvements to Listings.

11. Confidentiality (Business Users)

"Confidential Information" includes non-public information disclosed by Homzly (including Fees, system designs, and business processes) that is marked confidential or should reasonably be understood as confidential.

Business Users must:

  • use Confidential Information only for receiving Services and performing obligations; and
  • not disclose it to third parties except to staff/advisers who need to know it and are bound by confidentiality obligations.

Confidentiality obligations do not apply to information that is public (without breach), lawfully known before disclosure, independently developed, or required to be disclosed by law (with notice where lawful).

12. Suspension, Termination, and Cancellation

We may suspend or terminate access to the Platform/Services where:

  • Fees are unpaid;
  • required KYC is not provided/updated to our satisfaction; or
  • misuse, breach of Terms, or legal/regulatory violations occur.

Business Users may request early termination if they cease trading or wind up operations, supported by reasonable evidence and required approvals (where applicable).

During suspension, Fees continue to accrue (where applicable) until reactivation or valid termination.

13. Indemnity

You agree to indemnify and hold harmless Homzly from losses, damages, costs, and liabilities (including reasonable legal fees) arising from:

  • your breach of these Terms;
  • your Listings or Content;
  • your misuse of the Platform; or
  • claims that your Content infringes third-party rights or breaches applicable law.

14. Limitation of Liability

To the fullest extent permitted by law:

  • Homzly is not liable for indirect, incidental, special, or consequential damages.
  • Where you are a Business User purchasing Services, Homzly's total aggregate liability under or in connection with those Services will not exceed the lower of: (a) the total Fees paid by you for the relevant Services; or (b) AED 10,000.

15. Notices

We may send notices by email, SMS, in-app notifications, or posting on the Platform.

If you need to send a notice to Homzly, use the notice address we publish from time to time (for example, notices@homzly.com).

16. Changes to These Terms

We may modify or update these Terms from time to time. Updated Terms apply once published on the Platform. Continued use after publication means you accept the updated Terms.

17. Marketing Consent and Brand Assets (NOC)

This section applies to Business Users and governs Homzly's use of Client Assets for listing and marketing.

17.1 Purpose

By providing Client Assets to Homzly (or approving their use), you confirm you have no objection to Homzly using them to promote:

  • your real estate services and Listings; and
  • the Homzly Platform and related services.

17.2 Grant of rights

You grant Homzly a non-exclusive, royalty-free, revocable licence to use Client Assets, including:

  • your name/trade name and logos
  • trademarks and brand elements
  • photos/videos of agents, employees, and offices (as supplied or approved)
  • property photos, project images, floor plans, and marketing materials
  • text descriptions, biographies, and promotional content you provide or approve

17.3 Where Homzly may use Client Assets

Homzly may use Client Assets for:

  • displaying and marketing your Listings/services on the Platform;
  • digital channels (including social media, email campaigns, online ads, and in-app messages);
  • printed and digital promotional materials (brochures, pitch decks, presentations, event collateral); and
  • internal sales/training material related to promoting you and/or Homzly.

Homzly may crop, resize, format, overlay text/graphics, and combine Client Assets with Homzly branding, provided this does not intentionally distort or misrepresent you.

17.4 Approvals and brand guidelines

If you have brand guidelines, you will provide them. For standard Platform use and usual Homzly channels, you grant general pre-approval. For non-standard or sensitive campaigns (e.g., co-branded billboards, offline media, PR campaigns specifically featuring you), Homzly will seek prior written/email approval.

17.5 Ownership

You retain ownership of Client Assets. Homzly retains ownership of Homzly branding and any creative materials produced by Homzly that incorporate Client Assets.

17.6 Warranties

You warrant that:

  • you have the rights, licences, and permissions to grant this licence;
  • Homzly's use of Client Assets as described will not infringe third-party rights or breach law; and
  • where Client Assets include images/videos of individuals, you have obtained necessary consents/releases.

17.7 Indemnity

You agree to indemnify Homzly for losses arising from third-party claims that would mean you breached Section 17.6.

17.8 Term and revocation

This marketing consent remains effective while you maintain an active relationship or Account with Homzly.

You may revoke it (in whole or part) with 30 days' prior written notice. After revocation, Homzly will:

  • stop using Client Assets in new marketing materials; and
  • use reasonable efforts to remove Client Assets from channels controlled by Homzly where commercially and technically practical.

Revocation does not affect rights already granted under separate agreements unless those are also terminated.

17.9 Governing law

This section is governed by the laws of the Emirate of Dubai.

18. Governing Law and Dispute Resolution

These Terms (and any non-contractual obligations) are governed by the laws of Dubai, United Arab Emirates.

If you are a Business User purchasing Services and a dispute arises from those Services, the dispute will be finally resolved by arbitration administered by the Dubai International Arbitration Centre (DIAC) in accordance with its rules. The tribunal will consist of a sole arbitrator. The seat of arbitration is Dubai and the language is English.

For other disputes relating to general Platform use, disputes will be resolved in the courts of Dubai, unless arbitration is required by mandatory law or otherwise agreed.
